Limitation of Liability
Maximum Liability: Except where prohibited by law, Kromosystems’ total aggregate liability for any claim arising out of or related to these Terms shall not exceed the fees you have paid to Kromosystems in the twelve (12) months preceding the event giving rise to the claim. Excluded Damages: Kromosystems will not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, or data, even if advised of the possibility of such damages.
Licensing Policy
Grant of License: Subject to your compliance, Kromosystems grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes. Restrictions: You may not (a) reverse engineer, decompile, or disassemble the software; (b) sublicense, rent, lease, or distribute the software; or (c) remove or alter any proprietary notices.
Product Compatibility
Supported Environments: Our ERP platform is compatible with the latest stable releases of major operating systems (Windows, macOS, Linux) and database platforms as specified in our documentation. Third-Party Dependencies: Compatibility with third-party integrations (e.g., Shopify, Salesforce) is subject to those providers’ own version support; Kromosystems is not responsible for third-party changes that break integrations.
Delivery
Digital Delivery: License keys, setup files, and access credentials are delivered electronically via email or our customer portal upon purchase or subscription activation. Delivery Timelines: Standard delivery occurs within one (1) business day of order confirmation; expedited options may be available upon request.
Ownership
Kromosystems Intellectual Property: All software, interfaces, designs, logos, text, and other materials provided as part of the Services remain the exclusive property of Kromosystems and its licensors. Your Data: You retain ownership of all data, content, and materials you upload or generate through the Services. We process and store your data only as described in our Privacy Policy.
Browser Compatibility
Recommended Browsers: For the best experience, use the most recent versions of Chrome, Firefox, Safari, or Edge. Unsupported Browsers: Legacy or non-standard browsers (e.g., Internet Explorer 11 and below) may display errors or reduced functionality; Kromosystems disclaims support for such environments.
Updates
Automatic Updates: We may automatically deploy minor updates, patches, and security fixes to ensure optimal performance and compliance. Major Releases: Significant feature releases or version upgrades will be announced at least thirty (30) days in advance, with migration guidance provided.
Theme Support
Standard Themes: Kromosystems provides support and updates for all standard UI themes included with the ERP platform. Custom Themes: Support for customer-provided or third-party themes is available under our paid Professional Services agreement; without such an agreement, custom theme issues may be out of scope.
Price Changes
Notice Period: We reserve the right to change pricing for subscriptions or services. Any changes will be communicated at least sixty (60) days before the next billing cycle. Grandfathering: Existing customers will maintain current pricing through the end of their active subscription term; new rates apply only upon renewal after the notice period.
Refund Policy
Trial Period: For subscriptions with a free-trial period, no charges will apply until the trial ends. You may cancel at any time during the trial to avoid charges. Paid Plans: Refund requests for paid subscriptions must be submitted in writing within fourteen (14) days of initial purchase. After this period, all fees are non-refundable. Professional Services: Fees for custom development, integrations, or consulting are non-refundable once work has commenced.
